Ziftwo Terms of Service

THESE TERMS OF SERVICE ("TERMS") GOVERN YOUR ACCESS TO AND USE OF ZIFTWO, INCLUDING THE WEBSITE AND WEB APPLICATION AT ZIFTWO.COM, ITS CONNECTION TO YOUR GMAIL ACCOUNT, AND STAMP PURCHASES (THE "SERVICE"). BY SIGNING IN TO OR USING THE SERVICE, YOU AGREE TO THESE TERMS AND TO OUR PRIVACY POLICY. IF YOU ARE USING THE SERVICE ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND IT TO THESE TERMS, IN WHICH CASE "YOU" OR "YOUR" REFERS TO THAT ENTITY. IF YOU DO NOT AGREE WITH THESE TERMS, YOU MAY NOT USE THE SERVICE.
The Service is operated by ZJ van de Weg, an individual based in Danville, California, USA. References to "Ziftwo", "we", "our" and "us" mean the operator of the Service.
1. The Service
1.1 What Ziftwo does.
Ziftwo screens email arriving in a connected Gmail inbox. Messages from senders it recognizes pass through. A thread from an unknown sender is moved out of the inbox onto a Ziftwo/Held label, and Ziftwo emails the sender once, from its own address, asking them to buy a stamp to have it delivered. A stamp puts one held thread back in the inbox, and later messages in that thread are delivered too; a new thread from the same sender is held again. A held thread that is neither paid for nor answered within 14 days is moved to Gmail's Trash, which Gmail empties after a further 30 days.
1.2 Who uses it.
A "Receiver" is a user who connects their Gmail account to have their inbox screened. A "Sender" is anyone who emails a Receiver, and a Sender who buys or spends stamps is also a user of the Service, with or without signing in. These Terms apply to all users. Sections 3 and 4 apply specifically to Receivers and to stamp purchases respectively.
1.3 Early access.
The Service is in early access. Connecting Gmail is limited to users we approve. Features may change, and the Service may be interrupted or discontinued. We will try to give reasonable notice of material changes.
1.4 Eligibility.
You must be at least 16 years old, and old enough to form a binding contract where you live, to use the Service.
2. Your account
You sign in with a Google account, or, as a Sender, use the personal link in a stamp request, which acts as your key: don't share it. You are responsible for keeping your Google account and those links secure, and for all activity on the Service under your account. Notify us promptly of any unauthorized use you know of or suspect. You must give accurate information, such as a real email address when requesting access.
3. Receivers: your Gmail connection
3.1 What you authorize.
By connecting Gmail, you authorize Ziftwo, on your behalf, to read the headers of incoming messages, search your sent mail and Google Contacts to recognize senders, and move threads in and out of your inbox and to Trash as described in Section 1.1. You also authorize Ziftwo to email senders whose threads are held, from Ziftwo's own address, naming your email address. Ziftwo never sends email from your Gmail account. You can revoke this authorization at any time by disconnecting Gmail on your account page or in your Google account settings.
3.2 Mail you want may be held.
Screening is automatic, and it will sometimes hold mail you would have wanted, such as a first message from a new client, a recruiter, or someone using a different address. You are responsible for reviewing your Ziftwo/Held label or dashboard and releasing anything you want within 14 days, before it is moved to Trash. Replying to a sender, or releasing their thread from your dashboard, delivers it. We are not responsible for mail that is held, delayed, moved to Trash or deleted as the Service describes, or for any consequence of that.
3.3 Emails to held senders.
Ziftwo tells each held sender that their message to you, identified by your email address, is being held and how to have it delivered. You are responsible for whether using the Service, including those emails, is appropriate and lawful in your circumstances, for example under your employer's policies if you connect a work account.
3.4 No payment to Receivers.
Stamp purchases are revenue of the Service. Receivers do not receive any share of them.
4. Stamps and payments
4.1 What a stamp buys.
Stamps are sold in packs at the price shown at checkout. Buying a pack spends one stamp immediately on the held thread that prompted the purchase, and the rest stay in your balance. If that thread was already delivered, answered or moved to Trash before your payment is confirmed, no stamp is spent and all of them stay in your balance. Spending one stamp delivers one held thread to the Receiver's inbox, and later messages in that thread are delivered too. It does not give you access to the Receiver for new threads, which are held and need their own stamp until the Receiver replies to you. A stamp buys delivery, not attention: it does not guarantee that the Receiver reads, answers or acts on your message. The Receiver can still ignore it, delete it, or disconnect Ziftwo.
4.2 Your stamp balance.
Unspent stamps don't expire while the Service operates. They can be spent on any Receiver whose inbox holds your mail, are tied to your email address, and can't be transferred, sold or exchanged for cash.
4.3 Third party payment provider.
We use Stripe, Inc. as the third party service provider for payment services (e.g., card acceptance and related services). By paying through Stripe, you agree to be bound by Stripe's Privacy Policy: https://stripe.com/privacy, and you authorize us to share with Stripe the information and payment instructions needed to complete your purchase.
4.4 Refunds.
Stamps are delivered to your balance as soon as payment clears, and one is spent immediately. Except where the law requires otherwise, purchases are non-refundable. If you believe you were charged in error, contact us and we will look into it.
4.5 Taxes.
Prices are shown at checkout, including or excluding applicable sales, use, value-added and similar taxes as indicated there. Where taxes apply and aren't included in the price, you are responsible for paying them.
4.6 Price changes.
We may change the price of stamp packs for future purchases. Changes don't affect stamps you already hold.
5. Acceptable use
You will not, and will not allow anyone else to: (a) use the Service in violation of any law, including laws on unsolicited commercial email; (b) buy or use stamps to deliver messages that are fraudulent, harassing, threatening, defamatory, obscene, or that contain malware or phishing; (c) interfere in any manner with the operation of the Service or the hardware and network used to operate it, including by sending automated or bulk traffic to it; (d) attempt to access the Service through any unapproved interface, or access another user's account or data; (e) reverse engineer, decompile, or otherwise attempt to derive the source code of the Service, except as permitted by law; (f) resell or provide the Service to third parties; or (g) access or use the Service to build a similar or competitive product or service. We may suspend or terminate accounts that break these rules, and report illegal activity to the authorities.
6. Your content
You keep all rights in your email and other content. You grant us a limited, non-exclusive, worldwide, royalty-free license to access and process it only as needed to provide the Service to you, as described in these Terms and our Privacy Policy. We may use aggregated, de-identified statistics about use of the Service to operate and improve it. You are responsible for your content and for having the rights to use it with the Service.
7. Intellectual property
7.1 Ownership.
The Service, and all worldwide intellectual property rights in it, are the exclusive property of Ziftwo and its suppliers. All rights not expressly granted to you in these Terms are reserved. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose.
7.2 Feedback.
You hereby grant to us a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use or incorporate into the Service any suggestions, enhancement requests, recommendations or other feedback you provide relating to the Service. We will not identify you as the source of any such feedback.
8. Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," AND WE MAKE NO (AND HEREBY DISCLAIM ALL) WARRANTIES, REPRESENTATIONS, OR CONDITIONS, WHETHER WRITTEN, ORAL, EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF SATISFACTORY QUALITY, COURSE OF DEALING, TRADE USAGE OR PRACTICE, DATA ACCURACY, MERCHANTABILITY, TITLE, NONINFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICE WILL CORRECTLY RECOGNIZE EVERY SENDER, THAT ALL ERRORS CAN BE CORRECTED, OR THAT OPERATION OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of liability
9.1 Types of damages.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, REGARDLESS OF THE NATURE OF THE CLAIM, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST OPPORTUNITIES, BUSINESS INTERRUPTION, COSTS OF LOST, DELAYED OR DELETED EMAIL OR DATA, OR LIABILITIES TO THIRD PARTIES ARISING FROM ANY SOURCE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.2 Amount of damages.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR MAXIMUM LIABILITY ARISING OUT OF OR IN ANY WAY CONNECTED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, AND (B) FIFTY US DOLLARS (US$50). NOTHING IN THESE TERMS WILL LIMIT OR EXCLUDE LIABILITY FOR GROSS NEGLIGENCE, INTENTIONAL MISCONDUCT, OR DEATH OR PERSONAL INJURY, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
9.3 Basis of the bargain.
The limitations of liability in this Section 9 will survive and continue in full force and effect despite any failure of consideration or of an exclusive remedy. The prices of the Service are set in reliance upon these limitations, which form an essential basis of the bargain.
10. Indemnification
You will defend, indemnify and hold us harmless from any claim, damages or costs (including reasonable attorneys' fees) brought by a third party arising out of or relating to your breach of Section 5, your content, or your use of the Service in violation of law, including the emails to your senders under Section 3.3. We will promptly notify you in writing of any such claim, you will have control of its defense or settlement, and we will reasonably cooperate with you.
11. Term and termination
11.1 By you.
You can stop using the Service at any time. Disconnecting Gmail stops screening and revokes our access. To delete your account, contact us.
11.2 By us.
We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service. Where reasonable, we will give you notice first.
11.3 Effect of termination.
When your access ends, your rights to use the Service end, and any unspent stamps are forfeited, except where the law requires otherwise. Sections 4.4, 6, 7, 8, 9, 10, 11.3 and 12 survive termination.
12. Miscellaneous
12.1 Governing law and venue.
These Terms and any action related to them will be governed and interpreted by and under the laws of the State of California, without giving effect to any conflicts of laws principles that require the application of the law of a different jurisdiction. The state and federal courts located in Contra Costa County, California will have exclusive jurisdiction over any dispute arising from or related to these Terms, and you consent to their personal jurisdiction and venue. Nothing in this section deprives you of the protection of mandatory consumer laws of the country where you live. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
12.2 Changes to these Terms.
We may update these Terms. If we make material changes, we will update the date above and, where appropriate, notify you by email or through the Service. Changes take effect when posted, unless we say otherwise. If you keep using the Service after changes take effect, you accept the updated Terms.
12.3 Severability.
If any provision of these Terms is, for any reason, held to be invalid or unenforceable, the other provisions will remain enforceable and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.
12.4 Waiver.
Any waiver or failure to enforce any provision of these Terms on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion.
12.5 Assignment.
You may not assign or transfer these Terms, or your rights and obligations under them, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization or sale of all or substantially all of the Service, or by operation of law. These Terms will be binding upon the parties and their respective successors and permitted assigns.
12.6 Force majeure.
Any delay in the performance of any duties or obligations of either party (except the payment of amounts owed) will not be considered a breach of these Terms if such delay is caused by a labor dispute, fire, earthquake, flood, an outage of Google, Stripe or our hosting provider, or any other event beyond the control of such party, provided that such party uses reasonable efforts to resume performance as soon as possible.
12.7 Independent parties.
Nothing in these Terms creates an agency, partnership, employment or joint venture relationship between you and us.
12.8 Notices.
Notices to us must be sent by email to zj@ziftwo.com. We may send notices to you at the email address of your account.
12.9 Entire agreement.
These Terms, together with the Privacy Policy, are the final, complete and exclusive agreement between you and us with respect to the Service, and supersede all prior discussions with respect to it.
